본 약관은 에퀴 사이트(http://www.eqqui.com), 애플리케이션 또는 서비스(총칭하여 “에퀴 서비스”)를 이용하는 통역사와 고객, 회원과 회원 간의 권리와 의무, 책임 사항 및 서비스 이용절차, 유의사항을 규정함을 목적으로 합니다. 이 서비스는 http://www.eqqui.com 및 이를 통해 액세스할 수 있는 기타 웹사이트입니다. 플랫폼을 이용함으로써 귀하는 회원가입 여부와 관계없이 본 서비스 약관("약관")을 준수하고 법적 구속을 받는 데 동의합니다. 이 약관은 에퀴 서비스, 모든 집합적 콘텐츠(아래 정의) 이용에 대한 액세스 및 사용에 적용되며, 귀하와 에퀴 간의 법적 구속력이 있는 계약을 구성합니다.

용어의 정리

본 약관에서 사용하는 용어의 정의는 다음과 같습니다.

1. 클라이언트: 통역 서비스를 사용하기 위해 플랫폼을 통해 예약을 하는 회원을 의미합니다.
2. 통역사: 고객에게 통역 서비스를 제공하기 위해 플랫폼에 마이페이지를 생성한 회원을 의미합니다.
3. 회원: 에퀴에 계정 등록 프로세스를 완료한 등록된 사용자이며, 여기에는 통역사와 클라이언트를 포함하되 이에 국한되지 않습니다.
4. 사용자: 회원이든 아니든, 또는 통역사든 고객이든 에퀴 서비스의 모든 사용자를 의미합니다. 이때 플랫폼의 일정 부분에서는 다른 이용 약관이 게시되거나 추가로 이용 약관에 동의하고 수락해야 할 수 있습니다.
5. 집합 콘텐츠: 에퀴 플랫폼 내 모든 콘텐츠를 의미합니다. "콘텐츠"는 텍스트, 그래픽, 이미지, 음악, 소프트웨어(애플리케이션 제외), 오디오, 비디오, 정보 또는 기타 자료를 의미합니다.
6. 에퀴 콘텐츠: 에퀴가 플랫폼을 통해 제공하는 모든 콘텐츠를 의미합니다. 여기에는 제 3자로부터 라이선스가 부여된 콘텐츠가 포함되지만 회원 콘텐츠는 제외됩니다.
7. 회원 콘텐츠: 가입자가 플랫폼을 통해 게시한 마이페이지 상의 모든 콘텐츠를 의미합니다.
8. 초대 프로그램: 회원이 초대 코드를 제공하여 사용자를 새 회원으로 초대할 수 있는 프로그램입니다.
9. 마이페이지(서비스 목록): 거래를 위해 통역사가 직접 기재한 서비스 이용 관련 정보입니다.
10. 예약: 플랫폼을 통한 통역사의 언어 서비스에 대한 고객의 요청입니다.
11. 예약 요청 시간: 고객이 예약을 요청한 시간부터 통역사가 수락 여부를 결정할 수 있는 기간입니다. 예약 요청 시간은 18시간을 넘기지 않습니다.

약관 수정

에퀴는 법률이나 서비스의 변경사항을 반영하기 위한 목적 등으로 본 약관이나 각 서비스를 수정할 수 있습니다. 본 약관이 변경되는 경우 플랫폼에 수정 사항을 게시할 것이며, 본 약관의 상단에 있는 "최종 업데이트 날짜"를 기재할 것입니다. 당사가 플랫폼에 수정 사항을 공지한 후에도 귀하가 에퀴 서비스에 계속 접속하거나 사용한다는 것은 귀하가 수정된 약관에 구속된다는 데 동의하는 것이며, 수정된 약관이 귀하에게 받아들여지지 않는 경우 취하는 서비스 사용을 중단할 수 있습니다.

서비스 이용의 기본 자격

에퀴의 서비스는 만 18세 이상의 개인 또는 기업이 이용할 수 있으며, 18세 미만의 경우 에퀴에 접속하거나 이용하는 것을 명시적으로 금지합니다. 에퀴 서비스에 접속하거나 사용한다는 것은 귀하가 18세 이상임을 진술하고 보증하는 것입니다.

회원 가입 관련

1. 에퀴에 접속하고, 서비스를 이용하기 위해서는 회원 가입을 해야합니다. 계정은 1개 이상 보유할 수 없고 귀하는 등록 과정에서 정확하고 완전한 최신 정보를 제공하고, 이를 유지하기 위해 해당 정보를 업데이트해야 합니다. 에퀴는 귀하가 계정을 생성하는 과정 중, 또는 그 이후에 제공된 정보가 정확하지 않거나 사기성이 있거나, 최신 정보가 아닌 것으로 판명되는 경우 귀하의 에퀴 계정 및 에퀴 서비스에 대한 접속을 일시 중지하거나 종료시킬 수 있습니다. 2. 귀하는 귀하의 비밀번호를 보호할 책임이 있습니다. 귀하는 귀하의 비밀번호를 제 3자에게 공개하지 않아야 하며, 그러한 활동 시 모든 책임은 귀하에게 있습니다. 다만 귀하의 계정이 무단으로 사용되는 것으로 의심될 경우 즉시 에퀴에 알려주세요. 3. 당사 플랫폼을 통해 특정 제3자 소셜 네트워킹 사이트(Facebook을 포함하되 이에 국한되지 않음, 이러한 계정은 "제3자 계정"으로 칭함)로 계정에 로그인하여 가입할 수 있습니다. 4. 서비스를 이용하고자 하는 모든 자는 실제 연결 가능한 본인의 번호를 통해 휴대폰, 이메일 인증을 진행해야 합니다.

사용자의 의무

1. 통역사의 의무 에퀴는 통역사와 고객이 서로 직접 거래하고, 언어 서비스를 요청하는 것을 용이하게 하기위해 만들어진 플랫폼입니다. 에퀴는 마이페이지에 등록된 내용과 언어 서비스의 조건, 적법성 또는 적합성을 통제할 수 없으며 통제하지 않습니다. 에퀴는 모든 언어 서비스와 관련된 책임을 지지 않습니다. 따라서 모든 요청은 회원의 책임하에 이루어지거나 수락됩니다. 통역사는 본인의 마이페이지에서 서비스 이용 관련 정보를 작성할 수 있습니다. 서비스 정보에는 언어, 위치, 연령, 성별, 인사말, 학력, 자격증, 근무 이력이 포함되며 서비스의 가격과 결제조건 및 관련 규칙을 작성해야 합니다. 본인이 게시한 모든 내용에 대한 책임은 작성자 본인에게 있습니다. 고객은 통역사가 마이페이지에 제공한 정보를 기반으로 플랫폼을 통해 통역사에게 서비스를 요청할 수 있고, 통역사는 계약한 서비스의 내용을 성실하게 수행할 의무가 있습니다. 2. 클라이언트의 의무 고객은 요청하는 언어 서비스에 대해 통역사와 거래를 하기로 선택한 경우, 통역사와 계약을 체결해야 함을 이해하고 모든 조건, 규칙을 준수해야합니다. 통역사가 부과하는 언어 서비스와 관련된 제반 사항에 귀하는 그러한 계약의 의무를 수행할 책임이 있으며, 에퀴는 그러한 계약의 당사자가 아니며, 거래 중 발생하는 모든 책임을 지지 않습니다.

보증의 부인

1. 에퀴는 플랫폼 제공자로서 통역사와 고객간의 거래를 위한 장소를 제공할 뿐이므로 플랫폼에 가입하여 서비스를 제공하는 통역사들의 언어 서비스 능력이나 고객의 신원을 보증하지 않습니다. 2. 회원은 본 약관에 따라 정확한 정보를 제공해야 하며 에퀴 또한 회원의 신원을 확인하거나, 확인하는 데 도움이 되도록 설계된 추가 확인 프로세스를 수행하기 위해 노력하지만 회원의 신원에 대한 보증을 하지 않습니다. 그러므로 통역사는 고객의 요청을 결정할 때 항상 실사와 주의를 기울이는 것이 좋습니다. 이와 마찬가지로 클라이언트 역시 통역사의 마이페이지와 DM을 통해 통역사 선택에 주의를 기울여주세요. 3. 서비스 이용 중 다른 회원으로부터 불이익을 당했을 경우 법적 구제에 대한 책임은 귀하에게 피해를 준 기타 제3자에 있으며, 에퀴는 그러한 조치를 취하는 책임을 지지 않습니다. 4. 다만, 에퀴는 사용자가 게재한 정보의 내용이 타인의 명예, 권리를 침해하거나 법규정을 위반한다고 판단하는 경우 서비스 비용에 대한 제제를 가할 수 있습니다.

이용 제한

에퀴는 사용자가 아래와 같이 잘못된 방법이나 행위로 서비스를 이용할 경우 사용자에 대한 제제(이용정지, 강제탈퇴 등)를 가할 수 있습니다. 1. 에퀴 서비스 또는 에퀴 API에 접속하거나 이를 사용하여 에퀴 콘텐츠를 노출한 행위 2. 본 약관에서 명시적으로 허용하지 않는 상업적 또는 기타 목적을 위해 플랫폼을 이용하는 행위 3. 지적 재산권, 사생활 보호, 퍼블리시티 또는 계약상 권리를 포함하되 이에 국한되지 않은 개인 또는 단체의 권리를 침해하는 행위 4. 바이러스, 취소 봇, 트로이 목마, 유해 코드, 플러드 핑, 서비스 거부 공격, 백도어, 패킷 또는 IP 스푸핑을 포함하되 이에 국한되지 않는 당사 플랫폼, 에퀴 서비스 방해 또는 손상하는 행위 5. 에퀴 서비스를 사용하여 허락 없이 타인의 사진, 개인 연락처 정보 또는 신용카드, 직불카드, 전화 카드 또는 계좌 번호를 포함하되 이에 국한되지 않는 다른 사람 또는 단체에 관한 정보를 전송, 배포, 게시 또는 제출하는 행위 6. 원치 않는 상업성 이메일("스팸") 또는 언어 서비스와 관련이 없는 광고의 배포와 관련하여 당사의 플랫폼을 사용하는 행위 7. 에퀴 플랫폼 내 다른 사용자를 "스토킹"하거나 괴롭히거나, 에퀴 클라이언트 또는 통역사로 거래할 목적이 아닌 다른 사용자에 대한 개인 식별 정보를 수집 또는 저장하는 행위 8. 자신이 아닌 개인을 대신하여 에퀴 계정에 등록하는 경우 9. 통역사의 언어 서비스와 같은 일정과 관련된 질문 이외의 목적으로 통역사에게 연락하는 경우 10. 에퀴의 사전 서면 승인 없이 에퀴와 경쟁 관계에 있는 제3자 서비스 또는 웹사이트에 가입하도록 통역사 또는 기타 회원을 모집하거나, 권유하는 행위 11. 개인 또는 단체를 사칭하거나 자신 또는 개인 또는 단체와의 제휴를 위조하거나 허위 진술하는 행위 12. 자동화된 스크립트를 사용하여 플랫폼 내 정보를 수집하는 행위 13. 통역사로서 허위 또는 오해의 소지가 있는 가격 정보가 포함된 언어 서비스를 제출하거나 귀하가 존중할 의사가 없는 가격이 포함된 목록을 제출하는 행위 14. 통역사 또는 기타 언어 서비스 제공자로 일할 능력이 없는 언어 서비스를 제공하는 행위 15. 다음과 같은 콘텐츠를 게시, 업로드, 게시, 제출 또는 전송하는 행위 -사기성, 거짓, 오도 또는 기만적 콘텐츠 -명예 훼손, 외설, 포르노, 저속 또는 모욕적 콘텐츠 -개인이나 그룹에 대한 차별, 편견, 인종차별, 증오, 괴롭힘 또는 피해를 조장하는 콘텐츠 -폭력적이거나 위협적이거나 다른 사람을 위협하는 폭력이나 행동을 조장하는 콘텐츠 -불법적이거나 유해한 활동이나 물질을 조장하는 콘텐츠 16. 당사 플랫폼 또는 에퀴 서비스에서 데이터 또는 기타 콘텐츠를 체계적으로 검색하여 직접 또는 간접적으로 단일 또는 다중 다운로드로 컬렉션, 컴파일, 데이터베이스, 디렉토리 등을 수동 방법으로 사용을 통해 생성하거나 컴파일하는 행위 17. 에퀴(“eQQui”) 이름, 상표, 로고 또는 기타 독점 정보 또는 레이아웃을 사용, 표시, 미러링 또는 프레이밍하는 행위 18. 에퀴의 명시적인 서면 동의 없이 플랫폼 또는 에퀴 서비스의 페이지에 포함된 페이지 또는 양식의 디자인을 도용하는 행위 19. 에퀴 시스템 또는 네트워크의 취약성을 조사, 스캔 또는 테스트하거나 보안 또는 인증 수단을 위반하려고 시도하는 행위 20. 이메일 또는 뉴스 그룹 게시물에서 TCP/IP 패킷 헤더 또는 헤더 정보의 일부를 위조하거나 어떤 식으로든 플랫폼, 에퀴 서비스 또는 집합 콘텐츠를 사용하여 변경되거나 기만적이거나 잘못된 소스 식별 정보를 보내는 행위 21. 플랫폼, 에퀴 서비스 또는 집합 콘텐츠를 제공하는 데 사용되는 소프트웨어를 해독, 디컴파일, 분해 또는 역설계하려고 시도하는 행위 22. 전술한 행위를 하는 제3자를 옹호, 격려 또는 지원하는 행위

개인정보는 에퀴 서비스의 원활한 제공을 위하여 사용자가 동의한 목적과 범위 내에서만 이용됩니다. 에퀴의 개인 정보 보호 정책(www.eqqui.com/privacypolicy)을 주의 깊게 읽어주세요. 이 조건에 동의하지 않는다면 에퀴 서비스에서 정보를 얻거나 에퀴 서비스를 계속 사용할 권리가 없으며, 이 약관에 따라 에퀴 서비스를 사용하지 않을 경우 민형사상 처벌을 받을 수 있습니다.

Privacy

You agree that eQQui's Privacy Policy (as may be updated from time to time) governs eQQui's collection and use of your personal information.

Ownership

The Platform, the eQQui Services, and Collective Content are protected by copyright, trademark, and other laws of the United States and foreign countries. You acknowledge and agree that the Platform, the eQQui Services and Collective Content, including all associated intellectual property rights, are the exclusive property of eQQui and its licensors. You will not remove, alter or obscure any copyright, trademark, service mark or other proprietary rights notices incorporated in or accompanying the Platform, the eQQui Services or Collective Content.

Additional Terms

Our Services have different services and offerings, so sometimes additional terms or services requirements may apply to your use of the eQQui Services. For example, additional terms apply if you use Invitation Program to invite new Users to eQQui or if you use the Subscription Program to use the eQQui Services. If additional terms are available for the relevant services you use, those additional terms become part of these Terms.

Application License

Subject to your compliance with these Terms, eQQui grants you a limited non-exclusive, non-transferable license to download and install a copy of the Application on each mobile device or computer that you own or control and run such copy of the Application solely for your own personal use. eQQui reserves all rights in the Application not expressly granted to you by these Terms.

eQQui Content and Member Content License

Subject to your compliance with these Terms, eQQui grants you a limited, non-exclusive, non-transferable license, to (i) access and view any eQQui Content solely for your personal and non-commercial purposes and (ii) access and view any Member Content to which you are permitted access, solely for your personal and non-commercial purposes. You have no right to sublicense the license rights granted in this section. You will not use, copy, adapt, modify, prepare derivative works based upon, distribute, license, sell, transfer, publicly display, publicly perform, transmit, broadcast or otherwise exploit the Platform, the eQQui Services, or Collective Content, except as expressly permitted in these Terms. No licenses or rights are granted to you by implication or otherwise under any intellectual property rights owned or controlled by eQQui or its licensors, except for the licenses and rights expressly granted in these Terms.

Member Content

We may, in our sole discretion, permit you to post, upload, publish, submit or transmit Member Content. By making available any Member Content on or through the Platform, the eQQui Services, you hereby grant to eQQui a worldwide, irrevocable, perpetual (or for the term of the protection), non-exclusive, transferable, royalty-free license, with the right to sublicense, to use, view, copy, adapt, modify, distribute, license, sell, transfer, publicly display, publicly perform, transmit, stream, broadcast, access, view, and otherwise exploit such Member Content on, through, by means of or to promote or market the Platform and the eQQui Services. eQQui does not claim any ownership rights in any such Member Content and nothing in these Terms will be deemed to restrict any rights that you may have to use and exploit any such Member Content. You acknowledge and agree that you are solely responsible for all Member Content that you make available through the Platform and the eQQui Services. Accordingly, you represent and warrant that: (i) you either are the sole and exclusive owner of all Member Content that you make available through the Platform and the eQQui Services or you have all rights, licenses, consents and releases that are necessary to grant to eQQui the rights in such Member Content, as contemplated under these Terms; and (ii) neither the Member Content nor your posting, uploading, publication, submission or transmittal of the Member Content or eQQui's use of the Member Content (or any portion thereof) on, through or by means of the Platform and the eQQui Services will infringe, misappropriate or violate a third party's patent, copyright, trademark, trade secret, moral rights or other proprietary or intellectual property rights, or rights of publicity or privacy, or result in the violation of any applicable law or regulation.

The Platform and the eQQui Services may contain links to third-party websites or resources. You acknowledge and agree that eQQui is not responsible or liable for: (i) the availability or accuracy of such websites or resources; or (ii) the content, products, or services on or available from such websites or resources. Links to such websites or resources do not imply any endorsement by eQQui of such websites or resources or the content, products, or services available from such websites or resources. You acknowledge sole responsibility for and assume all risk arising from your use of any such websites or resources or the content, products or services on or available from such websites or resources. Some portions of the eQQui platform implement Google Maps/Earth mapping services, including Google Maps API(s). Your use of Google Maps/Earth is subject to Google's terms of use.

Proprietary Rights Notices

All trademarks, service marks, logos, trade names and any other proprietary designations of eQQui used herein are trademarks or registered trademarks of eQQui. Any other trademarks, service marks, logos, trade names and any other proprietary designations are the trademarks or registered trademarks of their respective parties.

Feedback

We welcome and encourage you to provide feedback, comments and suggestions for improvements to the Platform and the eQQui Services ("Feedback"). You may submit Feedback by emailing us, through the "Contact" section of the Platform, or by other means of communication. You acknowledge and agree that all Feedback you give us will be the sole and exclusive property of eQQui and you hereby irrevocably assign to eQQui and agree to irrevocably assign to eQQui all of your right, title, and interest in and to all Feedback, including without limitation all worldwide patent, copyright, trade secret, moral and other proprietary or intellectual property rights therein, and waive any moral rights you may have in such Feedback. At eQQui's request and expense, you will execute documents and take such further acts as eQQui may reasonably request to assist eQQui to acquire, perfect, and maintain its intellectual property rights and other legal protections for the Feedback.

Copyright Policy

eQQui respects copyright law and expects its Users to do the same. It is eQQui's policy to terminate in appropriate circumstances the eQQui Accounts of Members or other account holders who repeatedly infringe or are believed to be repeatedly infringing the rights of copyright holders. Please see eQQui Copyright Policy for further information. Suspension, Termination and eQQui Account Cancellation We may, in our discretion and without liability to you, with or without cause, with or without prior notice and at any time, decide to limit, suspend, deactivate or cancel your eQQui Account. If we exercise our discretion under these Terms to do so, any or all of the following can occur with or without prior notice or explanation to you: (a) your eQQui Account will be deactivated or suspended, your password will be disabled, and you will not be able to access the Platform, the eQQui Services, your eQQui Account, your Member Content, or receive assistance from eQQui Customer Service, (b) any pending or accepted future schedulings as either Interpreter or Client will be immediately terminated, (c) we may communicate to your Clients or Interpreters that a potential or confirmed scheduling has been cancelled, (d) we may refund your Clients in full for any and all confirmed scheduling, irrespective of preexisting cancellation policies, (e) we may contact your Clients to inform them about potential alternate Language Services with other Interpreters that may be available on the Platform and the eQQui Services, and (f) you will not be entitled to any compensation for scheduling (even if confirmed) that were cancelled as a result of a suspension, deactivation or termination of your eQQui Account. You may cancel your eQQui Account at any time via the "Cancel Account" feature of the eQQui Services or by sending us an email. Please note that if your eQQui Account is cancelled, we do not have an obligation to delete or return to you any Content you have posted to the Platform and the eQQui Services, including, but not limited to, any reviews or Feedback.

IF YOU CHOOSE TO USE THE PLATFORM, THE EQQUI SERVICES OR COLLECTIVE CONTENT OR PARTICIPATE IN THE INVITATION PROGRAM, YOU DO SO AT YOUR SOLE RISK. YOU ACKNOWLEDGE AND AGREE THAT EQQUI DOES NOT HAVE AN OBLIGATION TO CONDUCT BACKGROUND OR REGISTERED SEX OFFENDER CHECKS ON ANY MEMBER, INCLUDING, BUT NOT LIMITED TO, CLIENTS AND INTERPRETERS, BUT MAY CONDUCT SUCH BACKGROUND OR REGISTERED SEX OFFENDER CHECKS IN ITS SOLE DISCRETION. THE PLATFORM, THE EQQUI SERVICES, COLLECTIVE CONTENT AND INVITATION PROGRAM ARE PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED. WITHOUT LIMITING THE FOREGOING, EQQUI EXPLICITLY DISCLAIMS ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. EQQUI MAKES NO WARRANTY REGARDING THE QUALITY OF ANY LISTINGS, LANGUAGE SERVICES, INTERPRETERS, CLIENTS, THE EQQUI SERVICES OR COLLECTIVE CONTENT OR THE ACCURACY, TIMELINESS, TRUTHFULNESS, COMPLETENESS OR RELIABILITY OF ANY COLLECTIVE CONTENT OBTAINED THROUGH THE PLATFORM, THE EQQUI SERVICES OR INVITATION PROGRAM. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM EQQUI OR THROUGH THE PLATFORM, THE EQQUI SERVICES OR COLLECTIVE CONTENT, WILL CREATE ANY WARRANTY NOT EXPRESSLY MADE HEREIN. EQQUI MAKES NO REPRESENTATIONS OR WARRANTIES AS TO THE CONDUCT OF USERS OF THE PLATFORM OR THE EQQUI SERVICES OR THEIR COMPATIBILITY WITH ANY CURRENT OR FUTURE USERS OF THE PLATFORM OR THE EQQUI SERVICES. YOU AGREE TO TAKE REASONABLE PRECAUTIONS IN ALL COMMUNICATIONS AND INTERACTIONS WITH OTHER USERS OF THE PLATFORM OR THE EQQUI SERVICES AND WITH OTHER PERSONS WITH WHOM YOU COMMUNICATE OR INTERACT AS A RESULT OF YOUR USE OF THE PLATFORM OR THE EQQUI SERVICES, INCLUDING, BUT NOT LIMITED TO, CLIENTS AND INTERPRETERS, PARTICULARLY IF YOU DECIDE TO MEET OFFLINE OR IN PERSON REGARDLESS OF WHETHER SUCH MEETINGS ARE ORGANIZED BY EQQUI. NOTWITHSTANDING EQQUI'S APPOINTMENT AS THE LIMITED PAYMENT COLLECTION AGENT OF THE INTERPRETERS FOR THE PURPOSE OF ACCEPTING PAYMENTS FROM CLIENTS ON BEHALF OF THE INTERPRETERS, EQQUI EXPLICITLY DISCLAIMS ALL LIABILITY FOR ANY ACT OR OMISSION OF ANY USER OR OTHER THIRD PARTY.

Limitation of Liability

YOU ACKNOWLEDGE AND AGREE THAT, TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE ENTIRE RISK ARISING OUT OF YOUR ACCESS TO AND USE OF THE PLATFORM, THE EQQUI SERVICES AND COLLECTIVE CONTENT, YOUR LISTING OR SCHEDULING OF ANY LANGUAGE SERVICES VIA THE PLATFORM AND THE EQQUI SERVICES, YOUR PARTICIPATION IN THE INVITATION PROGRAM, AND ANY CONTACT YOU HAVE WITH OTHER USERS OF EQQUI WHETHER IN PERSON OR ONLINE REMAINS WITH YOU. NEITHER EQQUI NOR ANY OTHER PARTY INVOLVED IN CREATING, PRODUCING, OR DELIVERING THE PLATFORM, THE EQQUI SERVICES, COLLECTIVE CONTENT OR THE INVITATION PROGRAM WILL BE LIABLE FOR ANY INCIDENTAL, SPECIAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA OR LOSS OF GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE OR SYSTEM FAILURE OR THE COST OF SUBSTITUTE PRODUCTS OR SERVICES, OR FOR ANY DAMAGES FOR PERSONAL OR BODILY INJURY OR EMOTIONAL DISTRESS ARISING OUT OF OR IN CONNECTION WITH THESE TERMS, FROM THE USE OF OR INABILITY TO USE THE PLATFORM, THE EQQUI SERVICES OR COLLECTIVE CONTENT, FROM ANY COMMUNICATIONS, INTERACTIONS OR MEETINGS WITH OTHER USERS OF THE PLATFORM, THE EQQUI SERVICES OR OTHER PERSONS WITH WHOM YOU COMMUNICATE OR INTERACT AS A RESULT OF YOUR USE OF THE PLATFORM, THE EQQUI SERVICES, OR YOUR PARTICIPATION IN THE INVITATION PROGRAM OR FROM YOUR LISTING OR SCHEDULING OF ANY LANGUAGE SERVICES VIA THE PLATFORM AND THE EQQUI SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT EQQUI HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH ACCIDENT. EXCEPT FOR OUR OBLIGATIONS TO PAY AMOUNTS TO APPLICABLE LANGUAGE SERVICES PURSUANT TO THESE TERMS, IN NO EVENT WILL EQQUI’S AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS AND YOUR USE OF THE PLATFORM AND THE EQQUI SERVICES INCLUDING, BUT NOT LIMITED TO, FROM YOUR LISTING OR SCHEDULING OF ANY LANGUAGE SERVICES VIA THE PLATFORM AND THE EQQUI SERVICES, OR FROM THE USE OF OR INABILITY TO USE THE PLATFORM, THE EQQUI SERVICES, OR COLLECTIVE CONTENT OR YOUR PARTICIPATION IN THE INVITATION PROGRAM AND IN CONNECTION WITH ANY LANGUAGE SERVICES OR INTERACTIONS WITH ANY OTHER MEMBERS, EXCEED THE AMOUNTS YOU HAVE PAID OR OWE FOR SCHEDULING VIA THE PLATFORM AND THE EQQUI SERVICES AS A CLIENT IN THE TWELVE (12) MONTH PERIOD PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY, OR IF YOU ARE AN INTERPRETER, THE AMOUNTS PAID BY EQQUI TO YOU IN THE TWELVE (12) MONTH PERIOD PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED U.S. DOLLARS (US$100), IF NO SUCH PAYMENTS HAVE BEEN MADE, AS APPLICABLE. THE LIMITATIONS OF DAMAGES SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN EQQUI AND YOU. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL ACCIDENTS, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU.

Indemnification

You agree to release, defend, indemnify, and hold eQQui and its affiliates and subsidiaries, and their officers, directors, employees and agents, harmless from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with (a) your access to or use of the Platform, the eQQui Services, or Collective Content or your violation of these Terms; (b) your Member Content; (c) your (i) interaction with any Member, (ii) scheduling of an Language Services, or (iii) creation of Listing; (d) the work with an Member, including but not limited to any injuries, losses, or damages (compensatory, direct, incidental, consequential or otherwise) of any kind arising in connection with or as a result of a working for Language Services; and (e) your participation in the Invitation Program.

Export Control and Restricted Countries

You may not use, export, re-export, import, or transfer the Application except as authorized by United States law, the laws of the jurisdiction in which you obtained the Application, and any other applicable laws. In particular, but without limitation, the Application may not be exported or re-exported: (a) into any United States embargoed countries; or (b) to anyone on the U.S. Treasury Department's list of Specially Designated Nationals or the U.S. Department of Commerce's Denied Persons List or Entity List. By using the Platform and the eQQui Services, you represent and warrant that (i) neither you nor your Language Services is located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties. You also will not use the Platform and Services for any purpose prohibited by U.S. law, including the development, design, manufacture or production of missiles, or nuclear, chemical or biological weapons. eQQui does not permit Listing associated with certain countries due to U.S. embargo restrictions.

Reporting Misconduct

If you work with or interprete anyone who you feel is acting or has acted inappropriately, including but not limited to anyone who (i) engages in offensive, violent or sexually inappropriate behavior, (ii) you suspect of stealing from you, or (iii) engages in any other disturbing conduct, you should immediately report such person to the appropriate authorities and then to eQQui by contacting us with your police station and report number; provided that your report will not obligate us to take any action beyond that required by law (if any) or cause us to incur any liability to you.

Entire Agreement

These Terms constitute the entire and exclusive understanding and agreement between eQQui and you regarding the Platform, the eQQui Services, Collective Content, any scheduling or Listing of Language Services made via the Platform and the eQQui Services, and these Terms supersede and replace any and all prior oral or written understandings or agreements between eQQui and you regarding the Platform, the eQQui Services, Collective Content, any scheduling or Listing of Language Services made via the Platform.

Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without eQQui's prior written consent. Any attempt by you to assign or transfer these Terms, without such consent, will be null and of no effect. eQQui may assign or transfer these Terms, at its sole discretion, without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors and permitted assigns.

Notices

Any notices or other communications permitted or required hereunder, including those regarding modifications to these Terms, will be in writing and given by eQQui (i) via email (in each case to the address that you provide) or (ii) by posting to the Platform. For notices made by e-mail, the date of receipt will be deemed the date on which such notice is transmitted.

Controlling Law and Jurisdiction

These Terms and your use of the Services will be interpreted in accordance with the laws of the State of California and the United States of America, without regard to its conflict-of-law provisions. You and eQQui agree to submit to the personal jurisdiction of a state court located in Santa Clara County, California or a United States District Court, Northern District of California located in San Francisco, California for any actions for which the parties retain the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation or violation of a party's copyrights, trademarks, trade secrets, patents, or other intellectual property rights, as set forth in the Dispute Resolution provision below.

Dispute Resolution

You and eQQui agree that any dispute, claim or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation or validity thereof, or to the use of the Services or use of the Platform (collectively, "Disputes") will be settled by binding arbitration, except that each party retains the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation or violation of a party's copyrights, trademarks, trade secrets, patents, or other intellectual property rights. You acknowledge and agree that you and eQQui are each waiving the right to a trial by jury or to participate as a plaintiff or class member in any purported class action or representative proceeding. Further, unless both you and eQQui otherwise agree in writing, the arbitrator may not consolidate more than one person's claims, and may not otherwise preside over any form of any class or representative proceeding. If this specific paragraph is held unenforceable, then the entirety of this "Dispute Resolution" section will be deemed void. Except as provided in the preceding sentence, this "Dispute Resolution" section will survive any termination of these Terms.

Arbitration Rules and Governing Law.

The arbitration will be administered by the American Arbitration Association ("AAA") in accordance with the Commercial Arbitration Rules and the Supplementary Procedures for Consumer Related Disputes (the "AAA Rules") then in effect, except as modified by this "Dispute Resolution" section. (The AAA Rules are available at http://www.adr.org/arb_med or by calling the AAA at 1-800-778-7879.) The Federal Arbitration Act will govern the interpretation and enforcement of this section.

Arbitration Process.

A party who desires to initiate arbitration must provide the other party with a written Demand for Arbitration as specified in the AAA Rules. (The AAA provides a form Demand for Arbitration at http://www.adr.org/aaa/ShowPDF?doc=ADRSTG_004175 and a separate form for California residents at http://adr.org/aaa/ShowPDF?doc=ADRSTG_004314.) The arbitrator will be either a retired judge or an attorney licensed to practice law in the state of California and will be selected by the parties from the AAA's roster of consumer dispute arbitrators. If the parties are unable to agree upon an arbitrator within seven (7) days of delivery of the Demand for Arbitration, then the AAA will appoint the arbitrator in accordance with the AAA Rules.

Arbitration Location and Procedure.

Unless you and eQQui otherwise agree, the arbitration will be conducted in the county where you reside. If your claim does not exceed $10,000, then the arbitration will be conducted solely on the basis of documents you and eQQui submit to the arbitrator, unless you request a hearing or the arbitrator determines that a hearing is necessary. If your claim exceeds $10,000, your right to a hearing will be determined by the AAA Rules. Subject to the AAA Rules, the arbitrator will have the discretion to direct a reasonable exchange of information by the parties, consistent with the expedited nature of the arbitration.

Arbitrator's Decision.

The arbitrator will render an award within the time frame specified in the AAA Rules. The arbitrator's decision will include the essential findings and conclusions upon which the arbitrator based the award. Judgment on the arbitration award may be entered in any court having jurisdiction thereof. The arbitrator's award damages must be consistent with the terms of the "Limitation of Liability" section above as to the types and the amounts of damages for which a party may be held liable. The arbitrator may award declaratory or injunctive relief only in favor of the claimant and only to the extent necessary to provide relief warranted by the claimant's individual claim. If you prevail in arbitration you will be entitled to an award of attorneys' fees and expenses, to the extent provided under applicable law. eQQui will not seek, and hereby waives all rights it may have under applicable law to recover, attorneys' fees and expenses if eQQui prevails in arbitration.

Fees.

Your responsibility to pay any AAA filing, administrative and arbitrator fees will be solely as set forth in the AAA Rules. However, if your claim for damages does not exceed $75,000, eQQui will pay all such fees unless the arbitrator finds that either the substance of your claim or the relief sought in your Demand for Arbitration was frivolous or was brought for an improper purpose (as measured by the standards set forth in Federal Rule of Civil Procedure 11(b)).

Changes.

Notwithstanding the provisions of the "Modification" section above, if eQQui changes this "Dispute Resolution" section after the date you first accepted these Terms (or accepted any subsequent changes to these Terms), you may reject any such change by sending us written notice written notice (including by email to [ ]@eqqui.com) within 30 days of the date such change became effective, as indicated in the "Last Updated Date" above or in the date of eQQui's email to you notifying you of such change. By rejecting any change, you are agreeing that you will arbitrate any Dispute between you and eQQui in accordance with the provisions of this "Dispute Resolution" section as of the date you first accepted these Terms (or accepted any subsequent changes to these Terms).

General

The failure of eQQui to enforce any right or provision of these Terms will not constitute a waiver of future enforcement of that right or provision. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of eQQui. Except as expressly set forth in these Terms, the exercise by either party of any of its remedies under these Terms will be without prejudice to its other remedies under these Terms or otherwise. If for any reason an arbitrator or a court of competent jurisdiction finds any provision of these Terms invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the other provision of these Terms will remain in full force and effect.

Third party beneficiary

These Terms do not and are not intended to confer any rights or remedies upon any person other than the parties. Notwithstanding the foregoing, the parties agree that the payment card or method companies are third party beneficiaries of these Terms for purposes of enforcing provisions related to payments, but that their consent or agreement is not necessary for any changes or modifications to these Terms.
